Dangote Refinery Raises $2.5bn in Africa’s Largest Equity Placement

Dangote Petroleum Refinery and Petrochemicals FZE has raised $2.5 billion through what it described as Africa’s largest publicly disclosed primary equity placement, marking a milestone in the company’s financing strategy as it seeks to expand operations and reinforce its position as one of the continent’s leading integrated energy companies.

The Dangote refinery equity placement is the company’s first equity fundraising involving investors outside its legacy shareholder base, signalling growing confidence from domestic and international investors in the refinery’s long-term growth prospects and operational performance.

In a statement released on Thursday, the company said proceeds from the transaction would be used to support the continued expansion of its refinery and petrochemical complex, strengthen its capital structure and enhance financial flexibility to pursue future growth opportunities.

The fundraising comes as the refinery continues to scale production and expand its presence in regional and international fuel markets, amid broader efforts to reduce Africa’s dependence on imported refined petroleum products.

According to the company, the equity offering attracted participation from a diverse group of international and African institutional investors, sovereign-related investment vehicles, development finance institutions, strategic partners and individual investors.

Among the notable participants were the Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank).

The company said the calibre and diversity of investors reflected strong confidence in the refinery’s business model, operational performance and long-term strategy.

The transaction also marks a significant step in broadening the company’s shareholder base beyond its founding investors while reinforcing its standing as a globally competitive industrial enterprise.

Commenting on the successful capital raise, Aliko Dangote, President and Chief Executive of Dangote Industries Limited and Chairman of Dangote Petroleum Refinery and Petrochemicals, described the transaction as a strategic milestone.

“This transaction represents a strategic step to deepen and further institutionalise the enterprise’s shareholder base, while raising capital to complement our internal cash flows and external funding as DPRP advances its expansion agenda.

“It also demonstrates our unwavering commitment to developing Africa’s refining and petrochemical capacity, reducing dependence on imported petroleum products and strengthening the continent’s energy security,” Dangote said.

He noted that expanding Africa’s domestic refining capacity remains central to improving energy security, supporting industrialisation and reducing the continent’s reliance on imported petroleum products.

Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals, David Bird, said investor demand for the placement reflected confidence in the company’s operational execution and future prospects.

“The exceptional demand we witnessed is a testament to our operational excellence, execution capability and the confidence investors have in DPRP’s leadership and future potential.”

Bird added that the successful placement positions the company to accelerate its long-term growth strategy while delivering sustainable value to shareholders.

The company said the new capital would strengthen its financial position and provide additional flexibility to pursue future investment opportunities.

The additional capital is expected to support further investments across refining and petrochemical operations while enhancing the company’s ability to respond to evolving market opportunities.

The transaction also demonstrates growing investor appetite for large-scale African infrastructure and energy assets, particularly projects capable of improving regional energy security and reducing dependence on imported fuels.

The refinery said it remained committed to creating long-term value through operational excellence, sustainable growth and continued investment in world-scale refining and petrochemical infrastructure.

It also acknowledged the contributions of its professional advisers and transaction partners, noting that their expertise and support were instrumental to the successful completion of the equity placement.

The $2.5 billion equity placement is one of the largest private capital raises by an African industrial company and is a significant vote of confidence in Nigeria’s downstream petroleum sector.
